Brazos Valley A's Bylaws

ARTICLE I - NAME

The name of this organization shall be Brazos Valley A's Chapter, Model A Ford Club of America, and its principle office shall be in Bryan, Texas.

ARTICLE II - PURPOSE

The purpose of this club shall be:

SECTION 1. To serve as a medium of exchange of ideas, information and parts for admirers of the Model A Ford automobile, and to aid them in their efforts to restore and preserve the car in its original likeness.

SECTION 2. To unite in a central organization all owners of Model A Ford automobiles who are interested in enjoying, restoring and maintaining the automobile in a manner to attract prestige and respect within the community. A parallel purpose of this club is to help these owners become better acquainted, and encourage among its members the spirit of good fellowship, sociality and fair play through sponsored fun activities that include the use of the Model A Fords in family participation.

SECTION 3. The club shall be non profit, non-commercial, non-sectarian, and non-partisan.

ARTICLE III - MEMBERS

SECTION I. REQUIREMENTS

Chapter and family members are encouraged to be members of the national organization, the Model A Ford Club of America. Requirements for membership shall not insist upon the actual possession of a Model A Ford. An interest in the objectives of the club and a desire to take an active part in club activities shall be the primary requirement for membership.

SECTION 2. DUES

Each membership will include husband and wife or single person. Dues payable by members shall be in an amount to be set by the membership at the November meeting of the preceding year and are payable in advance. Dues for those joining after September shall apply to the ensuing year.

ARTICLE IV - MEETINGS OF MEMBERS

SECTION 1. REGULAR MEETING

Regular meetings of the members shall be held monthly for the purpose of transacting business. Meetings shall be conducted using Roberts Rule of Order.

SECTION 2. ELECTIONS

A nominating committee of three members shall be appointed by the President at the September regular meeting to nominate officers for the ensuing year. The nominating committee shall select members that agree to the placing of his/her name in nomination and shall have agreed to serve if elected. The slate of officers selected shall be reported to the membership at the October meeting and voted on at the November meeting.

SECTION 3. SPECIAL MEETING

Special meetings of the members may be called either by the President, another officer, or not less than one-tenth of the total Chapter membership.

SECTION 4. NOTICE OF SPECIAL MEETING

A written or printed notice stating the place, day and hour of any special meeting shall be delivered to each member not less than five nor more than forty days before the date of such meeting, and the purpose for which the special meeting is called shall be stated in the notice.

SECTION 5. QUORUM

A quorum shall consist of the members present at any regular monthly meeting or at any special meeting which is called according to the procedures outlined in Section 4 above.

ARTICLE V- OFFICERS

SECTION 1. OFFICERS

All officers shall be members of the Model A Ford Club of America. The officers of the club shall be a President, Vice President, Secretary, Treasurer and Newsletter Editor.

SECTION 2. ELECTION/TERM OF OFFICE

Officers of the club shall be elected annually at a regular business meeting and shall serve for the period of the following calendar year or until a replacement has been elected.

SECTION 3. PRESIDENT

The President is the principle executive officer of the club, and in general supervises and controls all of the business and affairs of the club. He/She presides at all meetings of the Club, appoints Tour Chairman, Program Chairman, Committee Directors and shall perform all duties incident to the office of President.

SECTION 4. VICE PRESIDENT

In the absence of the President, the Vice President shall perform the duties of the President.

SECTION 5. SECRETARY

The Secretary shall keep minutes of the meetings of the members, see that all notices are duly given in accordance with the provisions of these bylaws, and in general, perform all duties incident to the office of Secretary.

SECTION 6. TREASURER

The Treasurer shall have charge of and be responsible for all funds and securities of the club, and keep a roster of the mailing address of each member, He/She performs all duties incident to the office of Treasurer. The budget for each year shall not exceed the income of the previous year.

SECTION 7. NEWSLETTER EDITOR

The Newsletter Editor shall perform those tasks agreed upon by the officers of the Chapter.

SECTION 8. OTHER OFFICERS

Other officers shall be elected/appointed according to the needs of the Chapter. The officer making such appointments shall define duties.

ARTICLE VI - FISCAL YEAR

The fiscal year of the club shall begin on the first day of January and end on the last day of December in each year.

ARTICLE VII - AMENDMENTS TO BYLAWS

These by-laws may be altered, amended or repealed and new bylaws may be adopted by a two-thirds majority of the members present at any meeting of the members, provided at least five days written notice is given of intention to alter, amend or repeal or to adopt new bylaws at such meeting.
